Cookies are small text files that are placed on your computer and other devices by websites that you visit. These technologies support core site functions, such as remembering your preferences and enhancing performance, and they help us understand how you interact with our websites and mobile apps. For example, cookies and other identifiers allow us to analyze which pages or features are most popular, measure engagement with our communications, and continuously improve your experience with Upstart.
We also work with third-party partners to provide analytics, deliver advertisements, and measure marketing performance across the web and in mobile apps. These partners may use cookies, web beacons, device identifiers, and other tracking technologies to collect information about your interactions with our Services and other websites or applications. This information may include your IP address, browser type, mobile network information, pages viewed, links clicked, and time spent on our sites or apps. We and our partners use this information to understand how our Services are used, assess the effectiveness of our content and marketing, and deliver advertisements that may be more relevant to your interests.
Some of these activities may be considered “targeted advertising,” “sharing,” or “selling” under applicable privacy laws. You can manage your cookie and tracking preferences by using our cookie preferences tool, adjusting your mobile device settings, or visiting our Services with a recognized universal opt-out signal (such as the Global Privacy Control) enabled. Depending on which method you use, our processing of the signal may be limited to the specific browser or device that you are using. If you access our Services, through a different browser or device, you may need to set your preferences again. If we detect an automated opt-out preference signal, we will treat it as a request to opt-out of “sharing” and “selling” for the browser or device sending the signal. To learn more about your options, including how to manage targeted advertising and related activities, please visit Your Privacy Choices or see below the section entitled Opting Out of Targeted Advertising, Sharing, and Sales for more details.

***
#### How We Protect Your Information
We care about the security of your information and take reasonable measures designed to protect your personal information from unauthorized access and use by maintaining physical, electronic and procedural safeguards in compliance with applicable law. These measures include computer safeguards and secured files and buildings.
You are responsible for maintaining the secrecy of your unique password and account information, and for controlling access to your email communications from us at all times. However, we cannot ensure or warrant the security of any information you transmit to us or guarantee that information may not be accessed, disclosed, altered or destroyed.
In the event that any information under our control is compromised as a result of a breach of security, we will take reasonable steps to investigate the situation and where appropriate, notify those individuals whose information may have been compromised and take other steps, in accordance with any applicable laws and regulations.

***

#### Links to or from Other Websites and Services
We are not responsible for the practices employed by any third party, or websites or services linked to or from the Site, including any information or content they contain. Please remember that when you use a link from a third party to visit our Site, or use a link to go from the Site to another website, our Privacy Policy does not apply to those third-party websites or services. Your browsing and interaction on any third-party website or service, including those that have a link or advertisement on the Site, are subject to that third party’s own rules and policies, including their terms and conditions and privacy practices. In addition, you agree that we are not responsible and we do not control any third-parties that you authorize to access your user content. If you are using a third-party website or service (like LinkedIn) and you allow such a third-party access to your user content, you do so at your own risk.
***
#### How You Can Access or Change Your Personal Information
You can review and edit some of your personal information at any time by logging into your account.

#### Account Profile
You can update certain account profile information by logging into your account. You may also choose to update your email address or username. Please note that any changes you make to your account profile must be in accordance with our Terms of Use.

#### Affiliate and Non-Affiliate Data Sharing
In compliance with applicable laws, Upstart collects personal information from other Upstart Affiliates. In certain cases, you have the right to opt-out of this sharing if your loan originated through Upstart.com, Upstart mobile or you have a continuing relationship with Upstart. Review our Privacy Notice below to learn when this right applies. Visit Your Preferences Center to learn more. Please note, to streamline operations and ensure seamless financial experiences, Upstart affiliates may share services including account management, transaction processing, model use, including model training and development, and customer support. These shared services adhere to strict privacy and security standards, protecting customer information while enabling efficient service delivery.
***If your loan does not originate through Upstart.com or Upstart mobile, but rather through Upstart’s online marketplace, we will not share your personal information. More specifically, because your loan does not originate through Upstart.com or Upstart mobile there is not an option to opt-out of sharing. As such, please contact your lender directly regarding any personal information collected and your right to opt-out.
***
#### Use of Artificial Intelligence (AI) and Chatbot Technologies
We integrate AI capabilities into our products and services, such as through chatbot use that supports customer inquiries to enhance your experience. Our use of AI helps improve the efficiency and quality of our services in performing such tasks as: answering questions, providing recommendations or processing requests. During these interactions, the chatbot may collect and process information about you, including personal information, in accordance with this Privacy Policy. While we take reasonable and appropriate steps to ensure accuracy, completeness, and currentness of its responses, chatbot responses are generated automatically and may contain inaccuracies or omissions.

***
#### Children’s privacy
We do not knowingly collect or solicit any information from anyone under the age of 13 or knowingly allow such persons to register as users. The Site and its content are not directed at children under the age of 13. If we learn that we have collected personal information from a child under age 13, we will delete that information promptly. Please note, however, that these broadly-applicable privacy laws do not apply to what is referred to as personally identifiable financial information collected by financial institutions (like Upstart), as that information is subject instead to other financial privacy laws (like the Gramm-Leach-Bliley Act (GLBA)). As a result, these laws do not apply to most of the information that Upstart collects. The details below only apply to the more limited personal information we collect that is subject to these broadly-applicable U.S. state privacy laws.

**Access, Correction, and Deletion**

Depending on where you reside, you may have the right under certain U.S. state privacy laws to (1) request to know more about and access your personal information, (2) request deletion of your personal information, and (3) request correction of inaccurate personal information.

To request access, correction, or deletion of personal information that is subject to these privacy laws, please go to [https://www.upstart.com/datarequest](https://www.upstart.com/datarequest) or contact us [privacy@upstart.com](mailto:privacy@upstart.com). Some of these activities may be considered “sales” or “sharing” of your personal information or “targeted advertising” under the law that applies to you.

Depending on where you reside, you may have the right to opt-out of targeted advertising, sharing, and sales of your personal information. You can do so by following the prompts here [https://www.upstart.com/datarequest]( https://www.upstart.com/datarequest).

**Data Retention**

Due to the regulated nature of our industry, we are under legal requirements to retain data and are generally not able to delete consumer transactional data, credit or deposit account application data, or other financial information upon request. Certain regulations issued by state and/or federal government agencies may require us to maintain and report demographic information on the collective activities of our customers. We may also be required to maintain information about you for at least seven years to comply with applicable federal and state laws regarding recordkeeping, reporting, and audits. Criteria used to determine the period of time information about you is retained are primarily related to legal requirements and usefulness of the information for the purposes it was collected. We store this personal information for as long as necessary to carry out the purposes for which we originally collected it and for other business purposes explained in this Privacy Policy.

**Additional Information for California, Colorado, Minnesota, Montana, and Oregon consumers**

This section provides additional details about the personal information we collect about California, Colorado, Minnesota, Montana and Oregon consumers and the rights afforded to them under the California Consumer Privacy Act (“**CCPA**”), the Colorado Privacy Act (“**CPA**”), Minnesota Consumer Data Privacy Act (“**MNCDPA**”), the Montana Consumer Data Privacy Act (“**MTCDPA**”), and the Oregon Consumer Privacy Act ("**OCPA**") respectively.

The below chart categorizes the personal information we collected during the past twelve (12) months, the business or commercial purposes for which we may use such information, and the third parties to whom that information may be disclosed. Any loan offer request you submit is not an application for credit; rather, it is a request to receive a conditional loan offer from Customers Bank. Loan offers are made to eligible individuals who satisfy Customers Bank's credit policy. You understand you must meet certain basic credit criteria established by Customers Bank in order to be eligible to receive a loan. Customers Bank does not guarantee that you will be presented with loan offers or that you will meet the approval criteria for any particular offer. In order to proceed with a loan offer you must submit a loan application to Customers Bank via the Website. It is always your choice whether to apply for a loan and Customers Bank will never submit an application on your behalf without your consent. Customers Bank may withdraw a loan offer, terminate consideration of any application you submit, or withdraw approval of your loan at any time in its sole discretion. If for any reason you do not qualify, or you later cease to qualify, for a loan offered to you, (if, for example, your credit score from any consumer reporting agency falls significantly or your debt to income ratio changes), Customers Bank may withdraw its approval of your loan.

2. **Credit Report.** You have authorized Customers Bank to obtain your credit report from one or more consumer reporting agencies. You have a right under the Fair Credit Reporting Act to know the information contained in your credit file at the consumer reporting agency. You also have a right to a free copy of your report from the reporting agency, if you request it no later than 60 days after your information has been obtained. If you find that any information contained in the report you receive is inaccurate or incomplete, you have the right to dispute the inaccuracy with the reporting agency. Please note, the reporting agency plays no part in any lending decision and, if you were declined, will be unable to supply specific reasons why you did not receive a loan offer.

3. **Loan Application, Verification, and Loan Closing.**
1. To receive a loan, you must select a loan offer and, after proceeding, submit a loan application through the Website. After you choose to proceed with a loan offer, Upstart acts as Customers Bank's agent authorized to provide services in connection with your loan application, your loan origination, and the servicing of your loan on the Website. On behalf of Customers Bank, Upstart will verify any information you submit, including additional information you submit after choosing to proceed with your loan offer, by calling you, requiring you to produce appropriate documentation or other proof, and/or conducting such verification through a third party. This verification includes all information you provided when you requested a loan offer, such as information about your education, employment and your annual income, among other things. You authorize Customers Bank and Upstart (acting on Customers Bank’s behalf) to request and obtain data from third parties to verify any information that you provide in connection with your loan application. Your completed loan application must be approved by Customers Bank. After approval, you will be presented your final loan terms and related Truth-in-Lending disclosures, which you must accept, by digitally signing your promissory note (the "**Note**") within the time periods disclosed to you in the loan application flow.

If your loan application is approved then, subject to clause (b), your loan, as evidenced by the Note will be submitted for origination by Customers Bank. Your loan will be in accordance with the terms set forth in the Note.

2. Customers Bank may withdraw its approval of your loan application at any time prior to origination: (i) in the event of any inaccuracy or omission in your loan application; (ii) if you committed fraud or made a misrepresentation in connection with your application; or (iii) any other disqualifying event occurs. Customers Bank may withdraw its approval of your loan even after you have signed your Note. In the event that your loan application is declined or withdrawn, Customers Bank will retain a record of your loan application for a period of at least 25 months in accordance with federal law.

4. **Fees.** Customers Bank may charge you fees if your loan application results in an originated loan. For example, you may be required to pay Customers Bank a non-refundable origination fee. The amount of the fee will be stated in the disclosures provided to you. This fee will be deducted from your loan proceeds, so the loan proceeds delivered to you will be less than the full amount of your issued loan. You acknowledge that the origination fee will be considered part of the principal on your loan subject to the accrual of interest. Additional fees, such as late fees and ACH or check return fees, may also apply to your loan. These fees will be disclosed in your Truth-in-Lending disclosure and your Note.

5. **Loan Servicing.** If your loan application results in an originated loan, you acknowledge and agree that Upstart may serve as the loan servicer on behalf of Customers Bank and its successors and assigns. As loan servicer, Upstart will administer your loan, and may collect on your loan, on behalf of Customers Bank and any of its successors and assigns. If Upstart is servicing your loan, a copy of your Note representing your loan will be maintained in electronic form on the Website and made available to you for review on the Website, subject to site availability. You will also be able to manage your loan repayments via the Website.

6. **Other Products and Services.** Any products and services you use through the Website shall be governed by these Terms and any additional terms and conditions you agree to when signing up for a particular product or service. You agree to comply with such terms and conditions, which may be found on the Legal Agreements page after you log-in to the Website, and that such agreements are incorporated herein by reference.

7. **Representations, Warranties and Covenants.** You represent and warrant that (i) you are of legal age in the jurisdiction in which you reside, and a US citizen or permanent resident (ii) you are currently residing in the US; (iii) you are applying for a loan in good faith and with the intention to repay it when due; and (iv) all the information you provided in connection with your loan offer inquiry and any subsequent loan application to Customers Bank is true and accurate and you have not provided any false, misleading or deceptive statements or omissions of fact in your application. You acknowledge and agree that Customers Bank may rely, without independent verification, on the accuracy, authenticity and completeness of all information you provide. You certify that you will not use any loan proceeds to fund any illegal activity or that is prohibited by the [Acceptable Use Policy](https://www.upstart.com/acceptable_use_policy)..

8. **Bank Account.** In connection with any loan application you make on the Website, you represent and warrant that you are the owner of the deposit account(s) that you designate for electronic transfers of funds and have authority to direct that loan payments be made from such account. You acknowledge your designated account(s) will be the account(s) into which loan proceeds will be deposited and from which monthly loan payments will be made.

9. **Termination.** Customers Bank may terminate these Terms and your access to the Website at any time (i) in the event of any breach of any of your representations, warranties and covenants in these Terms, or (ii) you otherwise fail to abide by the terms of these Terms. In such event, Customers Bank retains all remedies authorized or permitted by these Terms and applicable law. Customers Bank may in its sole discretion, with or without cause and with or without notice, restrict your access to the Website.

10. **NO WARRANTIES.** THE WEBSITE AND THE PRODUCTS AND SERVICES PROVIDED IN CONNECTION THEREWITH ARE PROVIDED "AS IS" AND WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED OR STATUTORY. Neither Customers Bank nor Upstart guarantees continuous, uninterrupted or secure access to the Website or any of the services provided on the Website, and the operation of the Website may be interfered with by numerous factors outside of Customers Bank's control. Customers Bank and Upstart, on behalf of Customers Bank make reasonable efforts to ensure that requests for electronic debits and credits involving bank accounts are processed in a timely manner but it makes no representation or warranty regarding the amount of time needed because these services are dependent upon many factors outside of its control, such as delays in the banking system or the U.S. mail service. Customers Bank reserves the right to make changes to the products and services offered to future customers, including changes to the terms and conditions associated with these products and services.

11. **LIMITATION ON LIABILITY.** IN NO EVENT WILL CUSTOMERS BANK, UPSTART OR EACH OF OUR AND THEIR OFFICERS, DIRECTORS, AGENTS, EMPLOYEES OR SUPPLIERS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE WEBSITE OR THE SERVICES (HOWEVER ARISING, INCLUDING NEGLIGENCE). YOU UNDERSTAND THAT YOU HAVE THE RIGHT TO REJECT THIS PROVISION, AS PROVIDED IN PARAGRAPH (ii) BELOW.

1. Except as expressly provided below, you agree that any Claim (defined below) will be, at either your or our election, submitted to and resolved on an individual basis by binding arbitration. Any such arbitration will be under the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq. (the "**FAA**") before the American Arbitration Association (the "**AAA**") under its Commercial Arbitration Rules including the Supplementary Procedures for Consumer Related Disputes, in effect at the time the arbitration is brought (the "**AAA Rules**"), or before any other party that you and we agree to in writing, provided that such party must not have in place a formal or informal policy that is inconsistent with and purports to override the terms of this arbitration agreement. The AAA Rules are available online at [www.adr.org](https://www.adr.org). The arbitration agreement in this Section applies to any party named as a co-defendant with Customers Bank in a Claim asserted by you, such as Upstart Network, Inc., servicers, or debt collectors.

For purposes of this Section: (x) any "**Claim**" means any claim, dispute or controversy relating to (1) these Terms and Conditions (including a dispute over the validity, enforceability, arbitrability or scope of this arbitration clause) or any of the services accessed through the Site; and any relationship resulting from, or activities connected to, the Site whether based on statute, contract, tort or any other legal theory, provided a Claim does not include any individual action brought by you in small claims court or your state's equivalent court, unless such action is transferred, removed or appealed to a different court; and (y) the terms "**we**" or "**ours**" include Customers Bank, any subsequent holder of this Agreement, and the officers, directors, and employees, and their affiliates, subsidiaries, and parents, and any officers, directors, and employees of such entities.

2.
You may reject the arbitration agreement provided here by mailing a signed rejection notice to the address provided in the Notice section above within 30 calendar days of your agreement to this Agreement. Any rejection notice must include your name, address, the e-mail address you registered on the Site, and your telephone number.

3. Any state or federal court with jurisdiction and venue may enter an order enforcing the arbitration agreement provided in this Section, enter judgment upon the arbitrator's award and/or take any action authorized under the FAA. For any arbitration-related proceedings in which courts are authorized to take action under the FAA, each party expressly consents to the non-exclusive jurisdiction of any state court of general jurisdiction or any state court of equity that is reasonably convenient to that party, provided that the parties to any such judicial proceeding will have the right to initiate such proceeding in a federal court or remove the proceeding to federal court if authorized to do so under applicable federal law.

4. IF YOU OR WE CHOOSE ARBITRATION, NEITHER PARTY WILL HAVE THE RIGHT TO A JURY TRIAL, TO ENGAGE IN DISCOVERY, EXCEPT AS PROVIDED IN THE APPLICABLE ARBITRATION RULES, OR OTHERWISE TO LITIGATE THE DISPUTE OR CLAIM IN ANY COURT (OTHER THAN IN AN ACTION TO ENFORCE THE ARBITRATOR'S AWARD). FURTHER, YOU WILL NOT HAVE THE RIGHT TO PARTICIPATE AS A REPRESENTATIVE OR MEMBER OF ANY CLASS OF CLAIMANTS PERTAINING TO ANY CLAIM SUBJECT TO ARBITRATION. THE ARBITRATOR'S DECISION WILL BE FINAL AND BINDING. OTHER RIGHTS THAT YOU OR CUSTOMERS BANK WOULD HAVE IN COURT ALSO MAY NOT BE AVAILABLE IN ARBITRATION. THE ARBITRATOR WILL HAVE NO AUTHORITY TO ARBITRATE CLAIMS ON A CLASS BASIS, AND CLAIMS BROUGHT BY OR AGAINST YOU MAY NOT BE JOINED OR CONSOLIDATED WITH CLAIMS BROUGHT BY OR AGAINST ANY OTHER PERSON. If you reside in the U.S., any arbitration hearing will take place within the federal judicial district in which you reside. Each party will bear the expense of its own attorneys, experts and witnesses, regardless of which party prevails, unless applicable law or this Agreement gives a right to recover any of those fees from the other party. If your claim is for $10,000 or less, you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator, through a telephonic hearing or by an in-person hearing as established by the AAA Rules. If your claim exceeds $10,000, the AAA Rules will determine the right to a hearing. All fees and expenses of the arbitrator and administrative fees and expenses of the arbitration will be paid by the parties as provided by the AAA Rules, to the extent applicable, or by specific ruling by the arbitrator, or by agreement of the parties. The arbitrator will have the authority to award in favor of the individual party seeking relief all remedies permitted by applicable substantive law, including compensatory, statutory and punitive damages (subject to constitutional limits that would apply in court), and attorneys' fees and costs. In addition, the arbitrator may award declaratory or injunctive relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted in that party’s individual claim. Upon the timely request of either party, the arbitrator will write a brief explanation of the basis of his or her award. If the arbitrator determines that any claim or defense is frivolous or wrongfully intended to oppress the other party, the arbitrator may award sanctions in the form of fees and expenses reasonably incurred by the other party (including arbitration administration fees, arbitrator's fees, and attorney, expert and witness fees), to the extent such fees and expenses could be imposed under Rule 11 of the Federal Rules of Civil Procedure.

5. The arbitration agreement in this Section is made pursuant to a transaction involving interstate commerce and will be governed solely by the FAA, and not by any state law concerning arbitration or otherwise. If you have a question about the American Arbitration Association, you can contact them as follows: American Arbitration Association, 1633 Broadway 10th Floor, New York, N.Y. 10019, 212-716-5800, [www.adr.org](https://www.adr.org).

6. The arbitration agreement in this Section will survive this Agreement, any bankruptcy or insolvency, or any cancellation or request for cancellation of this Agreement. If any part of this arbitration agreement (other than the class waiver described above) is found to be invalid or unenforceable by a decision of a tribunal of competent jurisdiction, then such specific part or parts will be of no force and effect and will be severed, but the remainder of this arbitration agreement will continue in full force and effect. If such class waiver is determined to be invalid or unenforceable, then this entire arbitration agreement will be void and of no force or effect to any class actions.

3.
Governing Law Except as set forth in clause (b) above, this Agreement will be governed in all respects by the laws of the Commonwealth of Pennsylvania, without regard to principles of conflicts of laws that would require the application of the laws of any other jurisdiction.

15. **Amendments.** Customers Bank may amend these Terms and will provide you with at least 30 days written notice of any material changes.

16. **Assignment.** You hereby agree that Customers Bank may, without notice to you, assign all of Customers Bank’s rights, title and interest in these Terms to a third party. To the extent provided therein, any such assignment will release Customers Bank from all of Customers Bank’s obligations and duties under these Terms and the assignee will be solely responsible for the performance of such obligations and duties. You may not assign, transfer, sublicense or otherwise delegate your rights or obligations under these Terms to another person without Customers Bank’s prior written consent. Any such assignment, transfer, sublicense or delegation in violation of this Section 16 will be null and void.

17. **Processing Errors.** You agree that Customers Bank or Upstart (on behalf of Customers Bank), and any of their successors or assigns, may promptly correct any transaction processing error that is discovered. If the error results in your receipt of less than the correct amount to which you are entitled, you will be credited the difference. If the error results in your receipt of more than the correct amount to which you are entitled, you agree that Customers Bank or Upstart (on behalf of Customers Bank), may debit the extra funds. You agree to provide any additional consents necessary to correct any errors that occur.

18.
Miscellaneous. These Terms, along with the Customers Bank Privacy Policy, the Website Terms of Use, and any other agreements you enter into with Customers Bank or Upstart on the Website in connection with your use of additional products or services, represent the entire agreement between you and Customers Bank regarding the subject matter of these Terms and supersede all prior or contemporaneous communications, promises and proposals, whether oral, written or electronic, between you and Customers Bank with respect to your use of the Website. There are no third party beneficiaries to these Terms other than Upstart.
